Font licensing has a reputation for being complicated. At Overtype, we believe it should not be.

This Agreement is based on a simple principle: the size of the organization using the Font Software determines the applicable license tier.

One license covers all permitted media, including print, web, social media, applications, software, video, games, advertising, publishing, and digital products. There are no pageview limits, impression limits, download limits, subscription fees, or recurring usage fees.

The only exception is the creation of logos, wordmarks, trademarks, and permanent brand identifiers, which require a separate Logo License.

By purchasing, downloading, installing, accessing, or using Overtype Font Software, the Licensee agrees to be bound by this Agreement.

1. Definition

For the purposes of this Agreement:

  • Font Software means all font files, webfont files, variable fonts, source files if provided, updates, modifications, metadata, documentation, and related materials supplied by Overtype.
  • Overtype means Overtype Foundry, operated by Inès Davodeau and Tim Vanhille.
  • Licensee means the individual, company, organization, institution, agency, or legal entity purchasing or receiving the license.
  • Organization means the Licensee entity and its employees, directors, officers, founders, partners, and contractors working under the Licensee’s control or authority.
  • Affiliate means any entity directly or indirectly controlling, controlled by, or under common control with the Licensee.
  • Commercial Use means any use connected to a business activity, client project, professional activity, commercial activity, product, service, or revenue-generating purpose.
  • Logo License means the additional license required for use of the Font Software in logos, wordmarks, trademarks, monograms, and permanent brand identifiers.
  • Trial Fonts means evaluation or demonstration versions of the Font Software.

2. Ownership and Intellectual Property

The Font Software is protected by applicable copyright, intellectual property, and related laws. All rights, title, and interest in and to the Font Software remain the exclusive property of Overtype.

The purchase of a license does not transfer ownership of the Font Software or any intellectual property rights. The Licensee receives only the limited usage rights expressly granted under this Agreement. All rights not expressly granted remain reserved by Overtype.

3. License Grant

Subject to payment of applicable fees and compliance with this Agreement, Overtype grants the Licensee a limited, non-exclusive, non-transferable, and non-sublicensable license to use the Font Software.

The Licensee acknowledges that, before purchasing, downloading, installing, accessing, or using the Font Software, it has read, understood, and accepted this Agreement. The Licensee agrees that electronic records, including purchase confirmations, account records, invoices, and acceptance records, may be used as evidence of acceptance of this Agreement.

The permitted scope of use depends on the license tier purchased. The license is granted for an unlimited duration unless terminated according to Section 20 of this Agreement.

4. License Holder

The license must be purchased in the name of the final organization using the Font Software. A license purchased by one organization may not be transferred, reused, or applied to another independent organization.

For agencies, freelancers, consultants, and studios:

If purchasing fonts for a client project, the license must be issued in the client’s name.

The purchasing party (agency/freelancer) is responsible for ensuring the client purchases and complies with the appropriate license.

Final Client Responsibility: The final client organization is solely responsible for complying with this Agreement. If the final client violates the terms (e.g., unauthorized use, exceeding the licensed tier), the final client bears all liability, including retroactive licensing fees, legal costs, and damages. The purchasing party (agency/freelancer) is not liable for the final client’s non-compliance, provided they have:

• Purchased the license in the client’s name.
• Informed the client of their obligations under this Agreement.

A license does not allow a Licensee to use the Font Software for unrelated third-party clients unless explicitly authorized by Overtype.

5. License Tiers

License tiers are determined by the size of the licensed Organization. Organization size includes employees, directors, officers, founders, partners, and contractors working under the Organization’s authority.

Available tiers:

  • XS — up to 3 people
  • S — up to 10 people
  • M — up to 20 people
  • L — up to 50 people
  • XL — up to 100 people
  • XXL — up to 300 people

Organizations exceeding 300 people must contact Overtype for a custom license. The Licensee is responsible for selecting the correct license tier. If the Organization exceeds its licensed tier, the Licensee must upgrade within thirty (30) days.

6. License Upgrades

The Licensee may upgrade its license at any time. When upgrading, Overtype will generally charge only the difference between the previously purchased tier and the new applicable tier, based on Overtype's current pricing at the time of the upgrade. Overtype may request reasonable information necessary to confirm eligibility.

7. Permitted Uses

A valid Overtype license allows use of the Font Software in: Print publications, editorial design, packaging, signage, advertising, social media, websites, digital publications, motion graphics, film and video, applications, software, video games, broadcast media, internal communications, and external communications. No additional media-specific license is required.

8. Web Use and Digital Embedding

The Licensee may self-host webfont files, use webfont files through a third-party hosting provider, or embed Font Software into digital products. Embedding is permitted only where end users cannot extract, access, modify, reuse, or redistribute the Font Software.

9. Logo/wordmark License

A standard Overtype license does not include the right to use the Font Software to create logos, wordmarks, trademarks, monograms, or permanent brand identifiers. Any such use requires the purchase of a separate Logo License, even if the individual glyph outlines are modified, customized, or converted into static vector artwork.

A Logo License is granted to one specific licensed entity only. The resulting logo, wordmark, or brand identifier may not be transferred, sold, sublicensed, reassigned, or reused by another organization. Each separate organization requires its own Logo License.

Without a valid Logo License, the Licensee may not use the Font Software to create a logo, wordmark, monogram, or any other permanent brand identifier. Any such use, as well as any attempt to register, protect, or claim exclusive rights in such an element, constitutes a material breach of this Agreement.

10. Third-Party Service Providers

The Licensee may provide temporary access to the Font Software to trusted third parties solely when necessary to complete authorized work for the Licensee (e.g., printers, developers, production partners, marketing agencies, freelancers, consultants).

Such third parties may only use the Font Software for the Licensee’s authorized project, may not use it for their own independent purposes or other clients, may not redistribute the Font Software, and must delete all retained copies after completion of the project. The Licensee remains fully responsible for ensuring compliance by third parties acting on its behalf.

11. Trial Fonts

Trial Fonts are provided exclusively for evaluation purposes. Trial Fonts may not be used in commercial projects, client work, published materials, products, websites, applications, advertising, public portfolios, or promotional materials. Any public or commercial use requires a valid commercial license.

12. Student Licenses

Students enrolled in accredited educational institutions may request a free Student License. Student Licenses may only be used for coursework, educational projects, academic research, and student portfolios.

Student Licenses may not be used for freelance work, client projects, internships, professional activities, or revenue-generating activities. After completion of studies, continued use requires a commercial license.

13. Modifications

The Licensee may modify individual glyph outlines for the creation of static artwork (excluding logo creation, which remains governed by Section 9).

The Licensee may not distribute modified font files, create derivative font products, sell modified versions, or convert the Font Software into another font product. Any creation of derivative font software requires prior written authorization from Overtype.

14. Backups

The Licensee may create reasonable backup copies of the Font Software for security, archival, and recovery purposes. Backup copies remain subject to this Agreement.

15. Prohibited Uses

The Licensee may not:

— Sell, sublicense, rent, lease, or distribute the Font Software.
— Upload the Font Software to public repositories or make it publicly available.
— Transfer the Font Software to unauthorized parties.
— Create derivative font products, reverse engineer, decompile, or attempt to reconstruct the Font Software.
— Bypass technical protection measures.
— Misrepresent ownership of the Font Software.
— Use the Font Software in website templates, themes, software, or digital generators where end-users can customize text using the Font Software.

Exception: Embedding the Font Software in templates or digital products is permitted only if:

— The Font Software is technically locked (end-users cannot extract, modify, or redistribute it).
— The end-user (or their organization) holds a valid Overtype license for the Font Software.
— The Licensee discloses to end-users that a separate license is required for full use.

For commercial template marketplaces (e.g., ThemeForest, Creative Market), contact Overtype for a Template License Agreement.

16. Unauthorized Use and Enforcement

Use of the Font Software without a valid and appropriate license constitutes a breach of this Agreement, unauthorized use of intellectual property, and potential infringement of applicable intellectual property rights.

16.1 Immediate Remedies

In the event of unauthorized use, Overtype may require the Licensee to:

  • Immediately stop using the Font Software.
  • Remove the Font Software from systems, servers, and platforms under its control.
  • Delete unauthorized copies.
  • Confirm compliance in writing.

16.2 Retroactive Licensing

Overtype may require retroactive licensing fees where unauthorized use has occurred. Such fees may take into account the applicable license tier, duration of unauthorized use, scope of use, and commercial scale of the project or organization. Nothing in this Agreement limits Overtype’s right to seek compensation available under applicable law.

16.3 Additional Fees and Costs

In addition to retroactive licensing fees, Overtype may seek reasonable compensation for losses, damages, administrative costs, investigation expenses, and legal fees arising from unauthorized use, to the extent permitted by applicable law.

16.4 Legal Enforcement

Overtype reserves all rights to pursue legal remedies, including claims for damages, injunctive relief, recovery of legal fees, and enforcement costs.

16.5 Scope of Unauthorized Use

Unauthorized use includes, without limitation: use without a valid license, use under an incorrect license tier, use by an entity not covered by the license, use by affiliates or partners without a valid license, embedding or distributing the Font Software in a manner that allows extraction, and continued use after termination of the license.

16.6 No Limitation of Rights

Nothing in this Agreement shall limit Overtype’s right to claim full compensation for damages arising from unauthorized use.

17. Artificial Intelligence

The Font Software, glyph outlines, metadata, or any derivative data cannot be used to:

  • Train, fine-tune, or develop AI/ML models (e.g., generative font tools).
  • Create systems that reproduce, transform, or substitute Overtype’s typeface designs.

Permitted Uses:

  • Using the Font Software in AI-generated images (e.g., MidJourney, DALL·E) is allowed, provided the Font Software is not extracted, redistributed, or used to train models.
  • Using the Font Software in non-font AI tools (e.g., design assistants) is allowed if the Font Software remains protected and non-extractable.

18. Mergers and Acquisitions

If the Licensee merges with another organization, acquires another organization, or is acquired by another organization, and the resulting organization exceeds the licensed tier, an appropriate license upgrade must be obtained within thirty (30) days.

19. Compliance Verification

Overtype may request reasonable information to verify compliance with this Agreement. Such requests shall be reasonable and proportionate, relate only to license compliance, and respect confidential business information. The Licensee agrees to maintain sufficient records demonstrating compliance. Overtype shall not request access to confidential files, creative materials, source files, customer data, or business information unrelated to verifying license compliance.

20. Termination

Overtype reserves the right to terminate this Agreement and revoke the license immediately upon written notice if the Licensee commits a material breach of this Agreement (including, but not limited to, non-payment of fees, unauthorized distribution, or use beyond the purchased tier) and fails to remedy such breach within fifteen (15) days of receiving notification.

Upon termination, the Licensee must immediately cease all use of the Font Software, delete all copies from its systems, servers, and backups, and confirm destruction in writing to Overtype.

21. Warranty Disclaimer

The Font Software is provided "as is". To the fullest extent permitted by law, Overtype disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, compatibility, availability, and non-infringement.

22. Limitation of Liability

To the fullest extent permitted by law, Overtype shall not be liable for loss of profits, revenue, business opportunities, goodwill, data, business interruption, or indirect, incidental, consequential, punitive, or special damages.

Overtype’s total cumulative liability arising out of or relating to this Agreement shall not exceed the amount paid by the Licensee for the relevant license. Nothing in this Agreement excludes or limits liability that cannot be excluded under applicable law, including liability arising from fraud, gross negligence, death, personal injury, or mandatory legal obligations.

23. Indemnification

The Licensee agrees to indemnify Overtype against reasonable claims, damages, liabilities, costs, and expenses arising directly from the Licensee’s breach of this Agreement, unauthorized use of the Font Software, or violation of applicable laws.

24. Force Majeure

Overtype shall not be liable for delays or failures resulting from causes beyond its reasonable control, including natural disasters, war, governmental actions, labor disputes, cyberattacks, internet outages, and failures of third-party providers.

25. Acceptable Use

The Font Software may not be used in connection with unlawful activities, hate speech, discrimination, incitement to violence, or activities prohibited by applicable law.

26. Electronic Records

Electronic records maintained by Overtype, including invoices, payment confirmations, order records, download records, email communications, and licensing records, shall constitute evidence of transactions and licensing rights, subject to applicable rules of evidence.

27. Data Protection

Overtype may process Licensee information for the purposes of license management, customer support, compliance verification, and transaction records. Personal data shall be processed in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable.

28. Entire Agreement

This Agreement constitutes the entire agreement between Overtype and the Licensee regarding the Font Software and supersedes all prior discussions, understandings, or agreements relating to the same subject matter.

29. Survival

Sections relating to intellectual property, indemnification, limitation of liability, governing law, payment obligations, termination consequences, and dispute resolution shall survive termination of this Agreement.

30. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of France. Any dispute arising out of or relating to this Agreement shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.

This Agreement is drafted in English. In the event of any dispute concerning interpretation, the English version shall prevail.
